TRADING TERMS AND CONDITIONS GENERAL CONDITIONS We reserve the right to refuse to sell our products to anyone for any reason at any time. You understand that your personal information (not including credit card information), (a) may be transmitted over unencrypted networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks. MODIFICATIONS TO THE SERVICE AND PRICES Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third party for any modification, price change, suspension or discontinuation of the Service. PRODUCTS OR SERVICES We have made every endeavour to display, as accurately as possible, the colours and images of products that appear in our digital catalogue. We cannot guarantee that any digital display of any colour will be accurate. We reserve the right to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time. LABELLING All imported products will be delivered with their original labels from their point of origin countries. We do not accept any liability in the case of any product labels requiring any changes, translation; or amendment to ensure compliance with English law in place at the relevant time, whether on entering into this agreement or at any later date. The customer is responsible for compliance with all regulatory changes enforced by English law. We Will provide labels where required, however it is the Buyer’s responsibility to ensure the application of said labels on each individual product. RETURNED CHEQUES In the event of a cheque being rejected, we reserve the right to suspend this payment method for a period of up to six months. Any subsequent cheque rejections will result in this payment method being made generally unavailable to the buyer. Alternatively, we accept “cash” (C.O.D) or direct transfer (CHAPS or BACS): RETURNED DELIVERY Unless agreed otherwise, we aim to deliver our goods to you within two business days. Any delivery rejected by you, the buyer, without reasonable notice (this varies and is ultimately defined by us, the Seller) will incur a £50.00 surcharge. The Company shall not be responsible for any loss or damage arising from non-delivery or delay in delivery. RETURNED GOODS The return of goods is subject to mutual agreement between you (the Buyer) and the designated salesperson. DISCREPANCIES & DAMAGES Deliveries must be checked on receipt of goods in the presence of our driver. Any discrepancies should be reported at the time of delivery. Any claims made thereafter must be made within 24 hours of delivery. RISK & OWNERSHIP The goods shall remain the property of the Seller until all sums, due and payable by the Buyer to the Seller, have been paid. The risk as to the goods, supplied by the Seller, shall transfer to the buyer on delivery. PAYMENT TERMS & CREDIT Payment terms are strictly Cash on Delivery or direct transfer (CHAPS or BACS); unless credit facilities have previously been agreed. Goods remain the property of the Seller until any outstanding sum is settled in full. Once an account has been authorised, a credit check will be carried out and you will be provided, at our discretion, with an appropriate credit facility; In the event of exceeding the credit facility’s set limit, any new orders will be placed on hold until any outstanding balance over the credit limit has been cleared. LATE PAYMENTS & DEBT LIABILITY We reserve the right to close your account in the event of late payments or any outstanding debt liabilities. We also reserve the right to take legal action, where necessary and proportionate. CHANGES TO ORDER & PRICES The Seller reserves the right to cancel or reduce any order in the event of being unable, for any reason, to fulfill the whole or part of the order. All goods are charged at the prices current to the date displayed on the invoice. DELIVERY FEE The Seller shall deliver to the Buyer free of charge unless otherwise agreed. COMPLAINTS Complaints by the Buyer in respect of goods alleged to be defective shall not be a ground for the Buyer to withhold payment of any outstanding sums due to the Seller. In the event of receiving defective goods and where this defect stems from our service to you, we will carry out reasonable investigations and address this within a reasonable period. PERSONAL INFORMATION Your submission of personal information is subject to any relevant and applicable privacy regulations and legislation in force, in England and Wales, at the time of entering into this agreement. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY We do not guarantee or make any representations that our supply of goods to you will be uninterrupted, timely, secure or error-free. You agree that from time to time we may cease the supply of goods for indefinite periods of time or cancel your account at any time, without giving notice to you. In no case shall Palmyra Foods Limited, our directors, officers, employees, affiliates, agents, contractors, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct or indirect, incidental, punitive, special, or consequential damages of any kind, including, but not limited to, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence) arising from your use of any products procured from us, or for any other claim related in any way, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of any product sold to you by us. DATA PROTECTION Where the Buyer is a partnership or a sole trader, we may transfer information about the Buyer to our bankers/financiers for the purposes of providing services and for obtaining credit reports, where relevant, credit control, risk assessment and analysis (including credit scoring, market, product and statistical analysis), securitisation and protecting our interests. We will provide details of our bankers/financiers and that of any credit reference agencies used on request. LAW This contract shall be governed by English law. CHANGES TO TERMS OF SERVICE From time to time, we may change these terms, and we reserve the right, at our sole discretion, to update, change or replace any part of these terms.
